Important: Friendshipps™ is exclusively for platonic adult friendship. By creating an account you agree to these Terms in full, including our identity verification requirements, permanent ban policy, personal safety provisions, and all liability disclaimers. Violations — including any romantic or sexual solicitation — result in immediate permanent removal and may be reported to law enforcement.

Your safety matters: Always meet new connections in safe, public locations. Do not share personal details about your children with people you have recently met online. Friendshipps verifies identity — not character. Proceed with care and at your own risk.

1. Acceptance of Terms

By creating an account on Friendshipps™ ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you may not use the Platform. The Platform is owned and operated by Hammock Holdings, LLC, a Louisiana limited liability company, doing business as Friendshipps™ ("Hammock Holdings," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and Hammock Holdings, LLC DBA Friendshipps™, governed by the laws of the State of Louisiana. By using the Platform, you acknowledge that Hammock Holdings, LLC is a limited liability company and that your recourse, if any, is strictly limited as set forth in these Terms.

2. Eligibility

You must be at least 18 years of age to use Friendshipps™. By registering, you represent and warrant that you are 18 or older. Age is confirmed through mandatory identity verification via Stripe Identity. Any attempt to circumvent this requirement will result in immediate permanent ban.

3. Identity Verification

All members are required to complete identity verification via Stripe Identity before accessing the Platform. This process requires a valid government-issued photo ID and a live selfie. Your real name is never displayed to other members. We retain a secure cryptographic hash of your identity token to enforce our one-account-per-person policy and to support platform safety. By completing verification, you consent to this record being retained indefinitely for safety purposes, including to enforce permanent bans.

4. Purpose of the Platform

Friendshipps™ is designed exclusively for platonic adult friendship. The Platform is not a dating service, romantic matching service, or escort service of any kind. Any use of the Platform for romantic solicitation, sexual content, or any purpose other than platonic friendship is a material violation of these Terms and will result in immediate permanent ban.

5. Community Rules

By using Friendshipps™ you agree to the following. Violations of any rule may result in permanent ban: • No romantic or sexual solicitation of any kind • No explicit, adult, or sexually suggestive content • No harassment, threats, intimidation, or stalking • No hate speech, slurs, or discriminatory language • No impersonation of another person • No spam, commercial solicitation, or pyramid schemes • No sharing of another member's personal information without consent • Treat all members with dignity and respect

6. The Wave System

Waves are the Platform's mechanism for expressing interest in connecting with another member. Waves are anonymous until mutual. When both parties wave, a chat is unlocked. You may not attempt to circumvent the Wave system to contact members directly. Unsolicited contact attempts outside the Wave system are a violation of these Terms.

7. Personal Safety and In-Person Meetings

Friendshipps™ verifies the identity of its members but does not conduct criminal background checks and cannot guarantee the conduct, character, or intentions of any member. When meeting another member in person, you do so entirely at your own risk. We strongly advise all members to: • Meet for the first time in a busy, well-lit, public location (café, restaurant, park, or community space) • Arrange your own transportation and do not share your home address with new connections • Inform a trusted person of your plans, location, and the identity of who you are meeting • Trust your instincts — if something feels wrong, leave • Contact local law enforcement immediately if you feel threatened Friendshipps™ is not liable for any harm, loss, injury, or damages arising from in-person meetings between members. By using this Platform, you expressly acknowledge and assume all risks associated with meeting other members in person.

8. Children's Privacy and Safety

Friendshipps™ is a platform for adults. No information about children should be shared on the Platform except in the most general terms (e.g., noting that you are a parent). We strongly advise all members: • Do not share your children's names, schools, ages, routines, photos, or any identifying information with other members until a well-established, trusted friendship has developed over time • Sharing detailed information about your children with someone you have recently met online carries real risk — please proceed with caution Friendshipps™ is not responsible for any harm arising from a member's decision to share information about their children with other members. Members assume full personal responsibility for what they share on the Platform.

9. Membership and Payments

Membership fees are one-time and non-refundable except as required by applicable Louisiana law. Friendshipps™ does not offer subscriptions. Membership does not guarantee any particular outcome, connection, or friendship. A Crew Member fee is $10 (founding) or $20 (standard). A Captain's Circle membership is $49.

10. Bans and Enforcement

Friendshipps™ reserves the right to permanently ban any member for any violation of these Terms, at our sole discretion. Permanent bans are enforced at the identity level — a banned identity cannot create a new account under any name or email address. We cooperate fully with law enforcement investigations and reserve the right to report criminal behavior, including but not limited to harassment, threats, stalking, and solicitation, to appropriate authorities. By using the Platform, you acknowledge and consent to this cooperation.

11. Identity Records and Law Enforcement Cooperation

Friendshipps™ retains a secure cryptographic record of identity verifications for the purpose of platform safety and legal compliance. In the event of a valid legal request, court order, subpoena, or law enforcement inquiry, we may disclose relevant identity verification records, audit logs, and communications to law enforcement or legal authorities. We also reserve the right to proactively report credible threats of harm or criminal activity without notice. By using this Platform, you expressly consent to this policy.

12. Privacy

Your real name, government ID, and raw personal information are never stored visibly or shared with other members. We store only a secure SHA-256 cryptographic hash of your identity token. We do not sell your personal data to third parties for advertising or commercial purposes. Please review our Privacy Policy for full details on data collection and retention practices.

13. Disclaimer of Warranties

FRIENDSHIPPS™ IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Friendshipps™ does not warrant that: (a) the Platform will be uninterrupted or error-free; (b) any member is safe, trustworthy, or law-abiding; (c) connections or friendships will result from use of the Platform; or (d) the Platform is free from harmful elements. You assume all risk arising from your use of the Platform and any interactions with other members, whether online or in person.

13A. Cybersecurity and Data Breach Disclaimer

WHILE HAMMOCK HOLDINGS, LLC DBA FRIENDSHIPPS™ EMPLOYS REASONABLE INDUSTRY-STANDARD SECURITY MEASURES TO PROTECT YOUR DATA, NO SYSTEM IS COMPLETELY IMMUNE TO UNAUTHORIZED ACCESS, CYBERATTACKS, DATA BREACHES, OR OTHER SECURITY INCIDENTS. THE INTERNET AND DIGITAL PLATFORMS ARE INHERENTLY VULNERABLE ENVIRONMENTS. By using the Platform, you expressly acknowledge and agree that: • Hammock Holdings, LLC cannot guarantee that your personal data, account information, or communications will be free from unauthorized access at all times • In the event of a security incident, Hammock Holdings, LLC's liability is limited to the fullest extent permitted by Louisiana law and shall not exceed the amount you paid for your membership • Hammock Holdings, LLC assumes no liability for any damages, losses, or harm resulting from a data breach, cyberattack, or unauthorized access to the Platform or its systems, except where required by applicable law • You are responsible for maintaining the security of your own account credentials and devices In the event of a known material breach affecting member data, we will notify affected members as required by applicable Louisiana and federal law.

13B. Official Communications — Email Safety

Hammock Holdings, LLC DBA Friendshipps™ does not anticipate sending frequent email communications to members. When we do communicate by email, all official emails will come exclusively from an address ending in @friendshipps.com. BEFORE CLICKING ANY LINK IN AN EMAIL THAT APPEARS TO BE FROM FRIENDSHIPPS™, YOU SHOULD: • Verify that the sender's full email address ends in @friendshipps.com — not a lookalike domain • Be aware that Friendshipps™ will never ask for your password, payment information, or government ID via email • If you receive an email that seems suspicious or unexpected, do not click any links — contact us directly at support@friendshipps.com to verify Hammock Holdings, LLC assumes no liability for any harm resulting from phishing attempts, spoofed emails, or other fraudulent communications that impersonate Friendshipps™ but did not originate from our systems.

14. Limitation of Liability — Louisiana Law

Hammock Holdings, LLC is a Louisiana limited liability company. As a matter of law and by your express agreement herein, the limited liability protections afforded to Hammock Holdings, LLC under Louisiana Revised Statutes Title 12 (the Louisiana Limited Liability Company Law) apply in full. Members, managers, and affiliates of Hammock Holdings, LLC are not personally liable for the debts, obligations, or liabilities of the company. TO THE FULLEST EXTENT PERMITTED UNDER THE LAWS OF THE STATE OF LOUISIANA, INCLUDING LOUISIANA CIVIL CODE ARTICLES 2315 ET SEQ., HAMMOCK HOLDINGS, LLC DBA FRIENDSHIPPS™ AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH: • Your use of or inability to use the Platform • Any in-person meeting or interaction between members • Any content posted or transmitted by members • Any harm arising from information shared by members about themselves or their children • Unauthorized access to or alteration of your account or data • Any other matter relating to the Platform In no event shall the total aggregate liability of Hammock Holdings, LLC DBA Friendshipps™ to you exceed the amount you paid for your membership. Louisiana's comparative fault principles (La. C.C. art. 2323) apply — members who choose to meet in person, share personal information, or otherwise engage with other members bear personal responsibility proportionate to their own decisions and actions. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, liability is limited to the maximum extent permitted by law.

15. Assumption of Risk

By using Friendshipps™, you expressly acknowledge and agree that: • Meeting strangers — even verified ones — carries inherent personal risk • Identity verification confirms a person's identity, not their character, intent, or conduct • You assume all risks associated with using the Platform and with any in-person meetings, communications, or relationships that arise from it • You are solely responsible for your own safety and the safety of your household, including your children • Friendshipps™ is not an emergency service and cannot intervene in real-world situations

16. Indemnification

You agree to indemnify, defend, and hold harmless Hammock Holdings, LLC DBA Friendshipps™ and its members, managers, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your interaction with any other member on or off the Platform; or (d) your negligence or willful misconduct.

17. Legal Fees — Frivolous or Unsuccessful Claims

YOU EXPRESSLY AGREE THAT IF YOU INITIATE ANY LEGAL ACTION, CLAIM, DEMAND, OR PROCEEDING AGAINST HAMMOCK HOLDINGS, LLC DBA FRIENDSHIPPS™ AND SUCH ACTION IS DISMISSED, DECIDED IN FAVOR OF HAMMOCK HOLDINGS, LLC, OR OTHERWISE RESOLVED WITHOUT A JUDGMENT IN YOUR FAVOR, YOU SHALL BE RESPONSIBLE FOR AND SHALL PROMPTLY REIMBURSE HAMMOCK HOLDINGS, LLC FOR ALL ATTORNEYS' FEES, COURT COSTS, FILING FEES, AND ANY OTHER LEGAL EXPENSES INCURRED IN DEFENDING SUCH ACTION. This provision applies regardless of the legal theory under which your claim is brought. By agreeing to these Terms, you acknowledge that this fee-shifting provision is a material condition of your right to use the Platform, that you have had the opportunity to review it, and that you agree to it knowingly and voluntarily. This clause is enforceable as a contractual fee-shifting agreement under Louisiana law and is not a penalty but a reasonable allocation of litigation risk between the parties.

18. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. We will notify members of material changes via email.

19. Governing Law and Exclusive Venue — Ascension Parish, Louisiana

These Terms are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles. Any dispute, claim, or controversy of any kind arising out of or relating to these Terms, the Platform, or your relationship with Hammock Holdings, LLC DBA Friendshipps™ — whether in contract, tort, statute, or otherwise — shall be resolved EXCLUSIVELY in the state or federal courts of competent jurisdiction located in Ascension Parish, Louisiana. YOU HEREBY IRREVOCABLY AND UNCONDITIONALLY CONSENT TO THE PERSONAL JURISDICTION AND EXCLUSIVE VENUE OF SUCH COURTS, AND EXPRESSLY WAIVE ANY RIGHT TO OBJECT TO SUCH JURISDICTION OR VENUE, INCLUDING ANY CLAIM THAT ASCENSION PARISH IS AN INCONVENIENT FORUM. No action against Hammock Holdings, LLC DBA Friendshipps™ may be brought in any other parish, state, or jurisdiction. Any action filed in a court other than those in Ascension Parish, Louisiana shall be subject to immediate dismissal or transfer at your expense.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with any policies referenced herein, constitute the entire agreement between you and Hammock Holdings, LLC DBA Friendshipps™ with respect to your use of the Platform and supersede all prior agreements, representations, and understandings. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Hammock Holdings, LLC.
